The Director shall perform all duties effectively, devote adequate time to meet the responsibilities of the role effectively and shall at all times act due skill, care, diligence, and in the best interests of the Company at all times.
Duties and Responsibilities
- Participate at all Board meetings of the Company and carry out all instructions and resolutions in liaison with the other directors.
- Abide by the rules set out in the memorandum and Articles of Association of the Company, any other rules and procedures that have been adopted by the Company and Companies Law.
- Adhere at all times strictly to all laws, regulations and directives governing the operation of Securities Dealers, affecting the operation of Securities Dealers, governing the conduct of directors of Securities Dealers and to ensure that the Company complies with all such laws, regulations and directives at all times.
- Review and to monitor the performance of the Board and to oversight of the Company operations and activities to ensure compliance with the Company’s strategic objective and risk tolerance.
- Assess and periodically review the effectiveness of the policies, arrangements and procedures put in place to comply with the obligations under applicable laws and to take appropriate measures to address any deficiencies.
- Actively engage in risk supervision control, overseeing the identification, assessment, and mitigation of risks associated with the Company’s activities. This includes a comprehensive review of risk management policies, procedures, and controls, ensuring their effectiveness in aligning with the Company's strategic objectives and risk tolerance.
- Where applicable, be responsible to monitor specific transactions and take proactive measures to address any deficiencies.
- Promptly disclose any conflict of interest.
- Participate in board decisions regarding capital allocation, major investments, appointment or removal of key executives, and succession planning as part of the strategic oversight of the Company.
- Perform all other duties as set out in the Internal Operations Manual of the Company.
Requirements:
- Degree in Business, Accounting, Economics, Law, Finance, Risk Management
- At least 3 years of relevant experience in Capital Markets
- Relevant professional qualification, (e.g. a Diploma in Investment Operations from the Chartered Institute for Securities and Investment, or a Diploma in Capital Markets from the Chartered Institute for Securities and Investment or an ICA Diploma).
- Possess a clear understanding of the role and responsibilities of a Securities Dealer’s Representative.
- Has a thorough understanding of the business of the licensee, industry, and the regulatory framework applicable to the industry;
