    Executive Director and Compliance Officer - Seychelles

    HRus Partners, on behalf of our client, we are currently looking for an Executive Director and Compliance Officer for a VASP (Virtual Asset Service Provider) license in Seychelles.

    Duties and Responsibilities

    • Participate in all Board meetings of the Company and diligently carry out all instructions and resolutions of the Board, in coordination with other directors and key personnel.
    • Act in accordance with the Memorandum and Articles of Association of the Company, as well as all internal policies, procedures, and the applicable Companies Law.
    • Ensure at all times that the Company operates in full compliance with all laws, regulations, and directives applicable to Virtual Asset Service Providers (VASPs), Securities Dealers, and any other relevant regulatory framework. This includes directives from local financial authorities and anti-money laundering (AML) and counter-terrorist financing (CTF) requirements.
    • Serve as the primary point of contact with regulatory authorities for all matters relating to compliance and licensing under the VASP framework. Maintain updated knowledge of all legal and regulatory developments and ensure that the Company adapts and responds to such changes promptly.
    • Design, implement, and maintain the Company’s compliance program, including AML/CTF policies, transaction monitoring systems, internal reporting procedures, and KYC/CDD onboarding processes in line with applicable VASP regulations.
    • Assess and periodically review the effectiveness of internal controls, policies, arrangements, and procedures established to ensure compliance with legal and regulatory obligations. Promptly address any identified deficiencies with appropriate remedial measures.
    • Oversee and continuously improve the Company’s risk management framework, ensuring effective identification, assessment, mitigation, and monitoring of risks associated with virtual asset activities. This includes cyber security, operational, market, and compliance risks.
    • Where applicable, monitor specific transactions, especially those involving high-risk jurisdictions, politically exposed persons (PEPs), or red-flag indicators. Ensure timely reporting of suspicious activities to the relevant Financial Intelligence Unit (FIU).
    • Promptly disclose any conflicts of interest and take appropriate steps to mitigate or avoid them, in accordance with applicable ethical and governance standards.
    • Participate in strategic decision-making, including capital allocation, major investment decisions, executive appointments or removals, and succession planning, ensuring all such actions are compliant with regulatory expectations and align with the Company's strategic objectives.
    • Act as the primary coordinator for internal and external audits, regulatory examinations, and compliance reviews, ensuring full cooperation and timely resolution of any findings.
    • Maintain and regularly update the Compliance Manual and the Company’s Internal Operations Manual, ensuring that all staff are trained and adhere to these policies.
    • Perform all other duties and responsibilities as may be assigned by the Board, consistent with the role of an Executive Director and Compliance Officer under the applicable laws and regulatory framework for VASPs.

     

    Requirements:

    • Degree in Business, Accounting, Economics, Law, Finance, Risk Management
    • At least 3 years of relevant experience in Capital Markets
    • Relevant professional qualification, (e.g. a Diploma in Investment Operations from the Chartered Institute for Securities and Investment, or a Diploma in Capital Markets from the Chartered Institute for Securities and Investment or an ICA Diploma).
    • Possess a clear understanding of the role and responsibilities of a Securities Dealer’s Representative.
    • Has a thorough understanding of the business of the licensee, industry, and the regulatory framework applicable to the industry;
